COMPANYX (operating as mckenziex)

LIABILITY AND PARTICIPANT AGREEMENT

This Comprehensive Agreement ("Agreement") is entered into by and between COMPANYX (operating as mckenziex) ("Company"), operating in Calgary, Alberta, Canada, and the undersigned participant ("Participant").

  1. PARTICIPATION AND COMMITMENT
    1. Program Commitment
      • Full participation in scheduled classes within each program.
      • Attendance at all scheduled classes and rehearsals.
      • Commitment to final performance production.
      • Adherence to studio schedule and timeline.
  2. ACKNOWLEDGMENT AND ASSUMPTION OF RISKS
    1. Participant acknowledges and assumes risks including but not limited to:
      • Physical injury or strain.
      • Accidents during program activities.
      • Health-related incidents.
      • Property damage or loss.
      • Risks associated with video production equipment.
      • Performance-related injuries.
      • Death during program activities.
      • Travel-related incidents.
  3. MEDIA RIGHTS AND CONTENT OWNERSHIP
    1. Video Content Exclusive rights to film, edit, and distribute all performance content.
      • Permission to use performance footage across all platforms (YouTube, TikTok, Instagram, Facebook, LinkedIn.).
      • Rights to monetize content.
      • No distribution rights for participants.
    2. Photography
      • Permission for photography during all activities.
      • Right to use photos for marketing and promotional purposes.
      • No photo approval rights for participants
    3. Content Usage
      • All produced content remains Company property.
      • No participant compensation for content usage.
      • Perpetual usage rights for Company.
  4. CONDUCT AND PERFORMANCE STANDARDS
    1. Studio Conduct
      • Punctual arrival (on time for class).
      • Appropriate dance attire.
      • Professional behavior and respect.
      • No unauthorized recording.
      • 4.2 Performance Standards.
      • Commitment to choreography requirements
      • Mandatory rehearsal participation.
      • Adherence to costume guidelines.
  5. SAFETY AND LIABILITY
    1. Waiver of Liability Release of Company from all claims and liability Indemnification of Company against third-party claims
    2. Medical Authorization
      • Emergency treatment authorization.
      • Participants responsible for medical costs.
      • Confirmation of medical insurance
    3. Safety Protocols
      • Immediate injury reporting.
      • Adherence to safety guidelines.
      • Proper facility and equipment use.
  6. FINANCIAL TERMS
    • Payments for full ‘pay upfront’ programs are required at registration.
    • All ‘pay weekly’ payments must be made in full by the end of the last session.
    • No refunds (see cancellation policy).
    • Late payment penalties.
    • Valid payment method maintenance.
  7. INTELLECTUAL PROPERTY
    • Respect for choreography copyright.
    • No unauthorized reproduction.
    • Confidentiality of unreleased content.
  8. LEGAL PROVISIONS
    1. Governing Law Alberta, Canada law applies to Calgary court’s jurisdiction.
    2. Severability
      • Invalid provisions shall not affect the remaining terms.

This Agreement remains in effect throughout all Company activities and may only be modified in writing.
